Pearl's Premium Lawn Celebration Sweepstakes

OFFICIAL RULES - NO PURCHASE OF ANY KIND IS NECESSARY TO ENTER OR WIN IN THIS SWEEPSTAKES. PARTICIPATION OR PURCHASE DOES NOT IMPROVE ONE'S CHANCES OF WINNING.

1. ELIGIBILITY: Sweepstakes is open to residents of the fifty (50) United States and the Virgin Islands, age 18 or older, to whom this offer is addressed. Employees and Board members of Pearl's Premium, Inc., Whole Foods Markets, Inc., and other authorized resellers of Pearl's Premium, their affiliates, subsidiaries, advertising and production agencies and their immediate families are not eligible to enter or win. All federal, state, and local laws and regulations apply. Void where prohibited by law.

2. TO ENTER: Go to www.pearlspremium.com/sweepstakes to enter. Complete and submit the web form as instructed. Sweepstakes begins at 12:00:01 AM Eastern Standard Time (EST) on 4/1/2011 and all entries must be received by 11:59:59 PM (EST) on 11/15/2011. Pearl's Premium reserves the right to extend the entry period in its sole discretion. Limit one (1) entry per e-mail address. Each online entry will be deemed to have been submitted by the record holder of the e-mail account from which the entry originated. The use of automated devices are prohibited, and any such entries will be null and void.

3. SELECTION AND NOTIFICATION OF WINNERS: Winners will be determined from all eligible entries received in a random drawing to be conducted on or about 11/30/10 by Pearl’s Premium, Inc., whose decisions are final and binding on all matters relating to this Sweepstakes. Winners need not be present to win. Winners will be notified by email. If any prize/prize notification is returned as undeliverable, that entrant will forfeit the prize and the prize will be awarded to an alternate winner in a separate random drawing. If a winner, otherwise eligible under these Official Rules, is deemed a minor in his or her state of primary residence (Alabama and Nebraska), the prize will be awarded in the name of winner's parent or legal guardian on the minor's behalf. Entry and acceptance of prize constitutes permission to use winners' names, prizes won, hometowns, likenesses and statements and other personally identifiable information for online posting and promotional, advertising and marketing purposes without further compensation or notice, except where prohibited by law.

4. PRIZES AND ODDS: There will be up to thirty-nine (39) prizes awarded in a combination of seed, seed with lawn consultation and seed with lawn installation. There will be up to three (3) Grand Prizes awarded (one Grand Prize winner will be selected per region for each participating Whole Foods Markets region) consisting of all materials and labor to install a Pearl’s Premium lawn of up to 10,000 square feet plus a lawn consultation with a Pearl’s Premium professional. Any Grand Prize winner having a larger lawn and wishing a lawn installation over 10,000 square feet can optionally pay the market cost for such services for the excess over the 10,000 square awarded in this sweepstake. There will be up to nine (9) First Prizes awarded (three Second Prize winners will be selected per region for each participating Whole Foods Markets regions) consisting of five (5) 5-pound bags of Pearl's Premium seed (enough to cover up to 5,000 square feet) plus a lawn consultation with a Pearl’s Premium professional. No installation will be awarded as part of the First Prize award. There will be up to twenty-seven (27) Second Prizes awarded (one Second Prize winner will be selected per region for each of the participating Whole Foods Markets region) consisting of two (2) 5-lb bags Pearl's Premium seed (enough to cover up to 2,000 square feet). No installation or consultation will be awarded as part of the Second Prize award. All prize winners are responsible for picking up seed from a participating Whole Foods Market or other reseller location determined by Pearl's Premium, watering to get lawn established and any supplemental maintenance required. The Approximate Retail Value ("ARV") of each award is as follows: Grand Prize (3), $6,000 each; First Prize (9), $180 each; and Second Prize (27) of $32 each. Total "ARV" of all prizes equals $20,484. Odds of winning depend upon the number of electronic eligible entries received with estimate of odds being somewhere between 25:1 to 4,000:1. Limit one prize per person/household. All prizes are guaranteed to be awarded assuming sufficient amount of eligible entries are received and Whole Foods Market regions participate. Sponsor reserves right to substitute prize of equal or greater value or, in the event that less than 200 participants enter the Sweepstakes in any region, to roll-over entries and contest to next calendar year or cancel altogether if reseller no longer sells Pearl's Premium product. No other substitution or transfer of prizes permitted. Taxes are the sole responsibility of prize winners.

5. GENERAL: If by reason of printing or other error more prizes are claimed than the number set forth in these Official Rules, a random drawing will be conducted from all valid claims to award the advertised number of prizes. In no event will more than the advertised number of prizes be awarded. Sponsors are not responsible for late, lost, stolen, damaged, garbled, incomplete, misaddressed, or misdirected entries or communications; for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. Sponsor disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with this Sweepstakes, and reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Sweepstakes should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor's control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In the event of such cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible entries received prior to such time. Sponsor reserves the right, at its sole discretion, to disqualify any entrant if it believes his or her fraud or misconduct affects the integrity of the Sweepstakes.

6. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
